Terms of service

1. Acceptance

These terms form an agreement between you and CONFIRM: registered legal entity name ("ShieldAI", "we", "us"). By accessing shield-ai.ca you accept them. If you do not accept them, do not use the site.

2. What these terms cover

These terms govern this website only, including the calculators and demonstrations published on it.

They do not govern our commercial services. Use of ShieldAI Gateway, Terminova, Elpista, WorkCohorts or the Ontario Energy Assistant is governed by a separate written agreement between us and the customer organisation. Where these terms conflict with such an agreement, that agreement prevails.

3. The calculators and demonstrations

This site publishes interactive tools. They are provided free, for information, and each carries a specific limitation.

AI infrastructure sizing calculator

The calculator produces engineering estimates from simplified models. It derives figures from published hardware specifications and standard first-order approximations of memory footprint, bandwidth-bound decode and compute-bound prefill. It cannot account for your actual token-length distribution, cache hit rates, arrival burstiness, scheduler configuration, quantisation quality or failure-domain requirements, and it applies efficiency assumptions that will not match every deployment.

Do not use its output as the sole basis for a procurement, capital or architectural decision. Real requirements are established by testing against your own workload. We accept no liability for decisions taken in reliance on it.

Eligibility checker, apply assistant and status tracker

These are product demonstrations using illustrative data. They are not an official government service, are not operated by or on behalf of any ministry or public body, and are not connected to any live government system. Any figure, programme name, status or amount they display is for illustration only.

They do not determine your eligibility for anything, and nothing entered into them constitutes an application. To apply for a government programme, or to confirm whether you qualify, go to the responsible government body directly.

Ontario Energy Assistant demonstration

The demonstration chatbot returns scripted illustrative responses. It is not a source of authoritative information about any energy programme, rebate, eligibility rule or amount.

4. No professional advice

Nothing on this site is legal, regulatory, privacy, financial, engineering or professional advice, and no solicitor-client or other professional relationship is created by using it.

Our descriptions of PIPEDA, PHIPA, FIPPA, AODA, ISO 27001, SOC 2, NIST, IEC 62443, the Official Languages Act or any other framework are general summaries written for a business audience. They are not a statement of your obligations. Obtain advice from a qualified professional before acting.

Where we describe our services as aligned with a framework, that describes how they are designed and assessed. It is not a claim of certification. Certification status for any given platform is confirmed in writing during procurement.

5. Acceptable use

You agree not to:

• use the site unlawfully, or to infringe the rights of others;
• attempt to gain unauthorised access to the site or any connected system, or probe, scan or test its security without our prior written consent;
• interfere with the site's operation or availability, including by automated means that place unreasonable load on it;
• scrape or harvest content at scale, or use it to train a machine-learning model without our written permission;
• copy, reproduce or republish material from the site except as §6 permits;
• misrepresent the demonstrations in §3 as official, live or authoritative.

If you believe you have found a security vulnerability in this site, please report it to info@shield-ai.ca before disclosing it publicly. We will not pursue action against good-faith research conducted without degrading service or accessing others' data.

6. Intellectual property

The content, design, code, logo and trade marks on this site are owned by ShieldAI or our licensors and are protected by Canadian and international law. "ShieldAI", "Terminova", "Elpista" and "WorkCohorts" are our marks. CONFIRM: which marks are registered vs. unregistered, and whether the ™ or ® symbol is correct for each. "Black Enterprise Success Track™" and similar third-party marks are not ours to designate.

You may view, download and print pages for your own internal, non-commercial reference, provided you keep all proprietary notices intact. All other rights are reserved.

7. Third-party links and brands

This site links to third-party sites we do not control, and we are not responsible for their content, availability or privacy practices. A link is not an endorsement.

Third-party names and marks — including cloud providers, GPU vendors, model providers and framework bodies — are the property of their owners. Their use here is descriptive and does not imply affiliation, sponsorship or endorsement in either direction.

8. Availability

We may change, suspend or withdraw any part of this site at any time without notice. We do not warrant that the site will be available uninterrupted or error-free. Any service level applying to a commercial service is set out in the agreement for that service, not here.

9. Disclaimer of warranties

To the fullest extent permitted by law, this site and its tools are provided "as is" and "as available", without warranty of any kind, whether express, implied or statutory, including any implied warranty of merchantability, fitness for a particular purpose, accuracy or non-infringement.

Some jurisdictions do not allow the exclusion of certain warranties, and consumer protection legislation may give you rights that cannot be excluded. Nothing here limits those rights.

10. Limitation of liability

To the fullest extent permitted by law, ShieldAI and its directors, officers, employees and contractors are not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, data, goodwill or anticipated savings, arising out of or connected with your use of this site — whether in contract, tort (including negligence), statute or otherwise, and whether or not we were advised of the possibility.

Our total aggregate liability arising out of or connected with this site is limited to CONFIRM: cap — commonly CAD $100 for a free informational site. Take advice: an unreasonable cap can be read down entirely, leaving you worse off than a modest one.

Nothing in these terms excludes liability that cannot lawfully be excluded, including for fraud, fraudulent misrepresentation, or death or personal injury caused by negligence.

11. Indemnity

You agree to indemnify ShieldAI against any claim, loss, liability or reasonable expense arising from your breach of these terms or your unlawful use of the site.

12. Privacy

Our handling of personal information is governed by our privacy policy, which forms part of these terms. The tools on this site run entirely in your browser and transmit nothing to us.

13. Governing law

These terms are governed by the laws of CONFIRM: province — Ontario if that is where you are established and the federal laws of Canada applicable in that province. You agree to the exclusive jurisdiction of the courts of that province, without prejudice to any right a consumer has to bring proceedings in their own province of residence.

14. Changes

We may amend these terms at any time by posting a revised version. The effective date above reflects the current version, and continued use after a change constitutes acceptance. Check this page before relying on it.
